- What goodwill is
The value of a business above its identifiable net assets.
Goodwill is the amount by which the value of a business as a whole exceeds the value of its identifiable net assets (assets − liabilities). It arises from things like:
- a good reputation and brand,
- a loyal customer base,
- a good location,
- skilled staff and established supplier relationships.
Goodwill is an intangible asset. Internally-generated goodwill is not normally recorded in the accounts (it is difficult to value reliably and would breach prudence). However, when there is a change in the partnership — a new partner joins, one leaves, or the partners change how they share profits — goodwill must be brought into account so that the change is fair to everyone.
